Terms of Service

1. Eligibility & Acceptance

You must be at least 18 years old (or the age of majority in your jurisdiction, if older) and capable of forming a binding contract to use the Service. By accessing or using the Service, you represent that you meet these requirements and accept these Terms.

2. Account Registration & Security

Certain features require an account. You agree to:

1. Provide accurate, current, and complete information;
2. Maintain the security of your credentials and restrict access to your devices;
3. Promptly update information so it remains accurate;
4. Accept responsibility for all activities that occur under your account.

We are not liable for any loss or damage arising from unauthorized use of your account.

3. The Biographer Service

Biographer provides an AI‑powered, voice‑based interview platform that records, transcribes, and synthesizes user‑provided audio to create narrative media ("User Stories"). You retain ownership of the original recordings and transcripts you provide ("User Content"), subject to the license in Section 4.

3.1 Consent to Recording

By using any recording feature, you confirm that you have all necessary permissions and consents to record, including from any third parties whose voice or likeness may be captured. You are solely responsible for compliance with all applicable notification laws.

4. Your Content & License to Biographer

You grant Biographer a worldwide, non‑exclusive, royalty‑free, sublicensable license to host, store, process, adapt, edit, transform, reproduce, and distribute your User Content solely to operate, improve, and provide the Service to you and, at your direction, to your chosen recipients. Except for this limited license, you retain all rights in your User Content.

5. SMS/Text Messaging Terms

5.1 Opt‑In Consent

By providing your mobile phone number, creating an account, texting us first, or otherwise affirmatively opting in, you expressly consent to receive SMS/text messages from Biographer at that number. These messages may be sent by an automatic telephone‑dialing system and may include:

• Service‑related alerts and reminders (e.g., interview scheduling, transcript availability);
• Account, security, or transactional notices;
• Wait‑list or onboarding updates;
• Marketing or promotional messages, if you separately opt in.

Consent is not a condition of purchase.

5.2 Message Frequency

Message frequency will vary based on your interaction with the Service but will not exceed 10 messages per week unless you actively engage in a conversational session.

5.3 Opt‑Out & Help

You may opt out at any time by replying STOP to any message you receive. You may also request help by replying HELP or contacting us at support@thebiographer.com. After you send STOP, we may send one final confirmation message. No further messages will be sent unless you opt in again.

5.4 Charges & Carrier Disclaimer

Message and data rates may apply. Carriers are not liable for delayed or undelivered messages. Wireless service may not be available in all areas.

5.5 Mobile Number Changes

If you change or deactivate your mobile number, you must update your account information to help prevent us from sending messages to someone who inherits your old number.

6. Acceptable Use

You agree not to:

1. Use the Service for any unlawful, harmful, or fraudulent purpose;
2. Upload or transmit content that is defamatory, obscene, harassing, hateful, or infringes another's rights;
3. Reverse engineer, decompile, or disassemble any part of the Service;
4. Interfere with or disrupt the Service or attempt to gain unauthorized access to any systems or networks.

7. Fees & Payments

If you purchase any paid feature, you agree to pay all applicable fees and taxes. Prices and billing terms are described at the point of sale and may change with notice to you. All payments are non‑refundable except as required by law.

8. Intellectual Property

The Service, including all software, text, graphics, images, and other materials, is owned by Biographer or its licensors and is protected by intellectual‑property laws. We grant you a personal, non‑exclusive, non‑transferable, revocable license to access and use the Service for your personal, non‑commercial use in accordance with these Terms.

9. Third‑Party Services & Links

The Service may contain links to or integrations with third‑party services. Biographer does not control and is not responsible for third‑party content or services. Your use of any third‑party service is at your own risk and subject to that provider's terms.

10. Termination

We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. You may delete your account at any time. Sections that by their nature should survive termination will survive (including licenses, disclaimers, limitation of liability, and dispute resolution).

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." BIOGRAPHER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE, OR THAT ANY USER STORIES WILL MEET YOUR EXPECTATIONS.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BIOGRAPHER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF BIOGRAPHER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL BIOGRAPHER'S TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID BIOGRAPHER IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY OR (B) $100.

Some jurisdictions do not allow certain exclusions or limitations, so the above may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless Biographer and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your User Content, your violation of these Terms, or your misuse of the Service.

14. Governing Law & Dispute Resolution

These Terms and any dispute arising hereunder are governed by the laws of the State of New York, without regard to its conflict‑of‑laws rules. You and Biographer agree to resolve any claim by binding arbitration in New York County, New York, administered by the American Arbitration Association under its Consumer Arbitration Rules. You waive any right to a jury trial or to participate in a class action. Nothing in this Section prevents either party from seeking injunctive relief in a court of competent jurisdiction.

15. Changes to the Service or Terms

We may modify the Service or these Terms at any time. If we make material changes, we will notify you by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

16. General

• Entire Agreement. These Terms constitute the entire agreement between you and Biographer and supersede all prior agreements.
• Severability. If any provision is found unenforceable, the remaining provisions will remain in full force.
• Waiver. Failure to enforce any provision will not constitute a waiver.
• Assignment. You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
